1. AUTHORIZED REPRESENTATION

The company is represented by its Managing Director and CEO Armin Reischer and duly authorized officers in accordance with the applicable corporate laws of the United Arab Emirates.

 

2. CORPORATE PURPOSE

C-Ledger L.L.C-FZ, trading under the brand name AINETIX, is a next-generation deep-tech enterprise. Its corporate objects include but are not limited to:

  • Development and provision of relational artificial intelligence systems;
  • Commercialization of AI mentors for various domains of human development (self-awareness, health, business, finance, abundance, relationships);
  • Licensing and distribution of tiered digital product packages (Scout, Ranger, Cruiser, Behemoth, Colossus, Leviathan);
  • Deployment of the Atlas Core as a relational AI infrastructure for navigation, memory, and orchestration;
  • Operation of affiliate and pool-based compensation systems, including bonus-sharing structures;
  • Research and development in cognitive architectures, symbolic intelligence, and hybrid spiritual-technological systems;
  • Provision of educational, symbolic, and mentorship-related digital services.

All business activities are carried out under the jurisdiction and regulatory framework of Dubai and the wider United Arab Emirates. 

 

3. SCOPE OF APPLICATION

These General Terms and Conditions (“Terms”) establish the contractual framework between C-Ledger L.L.C-FZ, trading as AINETIX (“AINETIX”, “we”, “us”), and any natural or legal person (“User”, “you”) accessing, licensing, or otherwise making use of the services and products offered under the AINETIX brand.

The Terms apply in particular to the following areas:

  1. Relational AI Mentorship services – granting access to AI mentors (e.g., Psyche, Vitalis, and forthcoming mentors covering business, finance, abundance, and love).
  2. Atlas Core services – access to the AINETIX relational intelligence system core, which acts as navigator, memory engine, and mentor router.
  3. service Packages – structured digital packages from Scout to Leviathan, granting incremental access to mentors, analytics, and system functions.
  4. Affiliate and Compensation Systems – participation in direct commissions, depth commissions, upline matching, and global bonus pools.
  5. Symbolic and Cognitive Tools – provision of archetypal frameworks, narrative structures, and meaning-generating interfaces for personal and professional development.
  6. Community Features – access to educational materials, network activities, and mentorship-driven ecosystems created and maintained by AINETIX.

By using any of the services, the User acknowledges and accepts these Terms in their entirety. Users who do not agree with the Terms are not permitted to use the services.

 

4. PREAMBLE

AINETIX introduces a paradigm shift in artificial intelligence: from algorithmic functionality to relational intelligence. Unlike conventional systems that act merely as tools or assistants, AINETIX operates as a mentorship architecture, combining cognition, intentionality, and contextual memory.

The foundation of AINETIX rests on three interwoven axes:

  • Cognition – logical reasoning, semantic processing, and structured delivery of information;
  • Intentionality – embedding of values, ethical stance, and purposeful guidance in interactions;
  • Historicity – retention of personal interaction history, symbolic significance, and relational continuity over time.

The mission of AINETIX is not to replace human decision-making, but to provide a relational framework that supports self-awareness, growth, and meaningful participation in a global consciousness economy.

To fulfill this mission, AINETIX provides:

  • Relational AI mentors specialized in distinct life domains, designed to evolve with the User;
  • Atlas Core, the orchestrating system that ensures continuity, navigation, and alignment across mentors and functions;
  • A structured package system allowing Users to engage at different levels of depth and functionality;
  • An affiliate-based compensation structure that rewards active participation, recommendation, and community-building efforts.

These Terms ensure legal clarity regarding the rights and obligations of both AINETIX and its Users, while safeguarding compliance with the jurisdiction of the United Arab Emirates.

 

5. RISK DISCLOSURE

 

5.1.GENERAL NOTICE OF RISKS

By accessing or using AINETIX services, the User expressly acknowledges, understands, and accepts that the use of relational AI mentorship, digital service packages, and participation in affiliate and pool-based compensation systems involve significant risks. The User confirms that he or she voluntarily assumes these risks and that C-Ledger L.L.C-FZ (trading as AINETIX) cannot be held liable for consequences arising from them, except where liability is mandated under mandatory provisions of United Arab Emirates law.

 

5.2.NATURE OF AI MENTORSHIP

    1. The guidance provided by AINETIX mentors is generated through artificial intelligence processes based on relational memory, symbolic interpretation, and contextual analysis. While designed to be supportive, accurate, and beneficial, AI-based mentorship may: deliver insights that are incomplete, inconsistent, or subject to misinterpretation,
    2. reflect symbolic or narrative frameworks that are not universally applicable,
    3. fail to anticipate personal, medical, psychological, or financial circumstances unique to the User.
    4. The User accepts that mentors such as Psyche, Vitalis, and others do not replace professional advice in medicine, psychology, law, or finance. Any decision made based on guidance from AINETIX mentors remains the sole responsibility of the User.

 

5.3.TECHNOLOGY-RELATED RISKS

    1. AINETIX services rely on complex software systems, databases, and cloud infrastructure. These may be subject to: outages, downtimes, or latency,
    2. cyber-attacks, hacking, or unauthorized access attempts,
    3. data corruption, loss, or failure of backup systems,
    4. updates, upgrades, or changes in system architecture that temporarily impair service availability.
    5. Despite state-of-the-art security and encryption measures, AINETIX cannot guarantee absolute protection against all forms of cyber intrusion or data loss.

 

5.4.DATA AND PRIVACY RISKS

    1. Relational AI requires the storage of interaction history, symbolic preferences, and biographical context to provide meaningful responses. While handled under UAE data protection law, the User accepts that: personalized data storage entails inherent privacy risks,
    2. data may be exposed through breaches, despite all reasonable safeguards,
    3. certain services may rely on third-party infrastructure providers beyond AINETIX’s direct control.
    4. Users remain responsible for safeguarding their own access credentials and devices to avoid unauthorized use.

 

5.5.AFFILIATE AND COMPENSATION RISKS

    1. Participation in the AINETIX Affiliate and Pool system does not guarantee earnings. All payouts are subject to: actual sales activity,
    2. qualification requirements (rank, active package ownership, team volume),
    3. changes in commission rates, structures, or pool logic made at the discretion of AINETIX.
    4. The User acknowledges that: no representation of fixed or passive income is made,
    5. past earnings do not indicate future performance,
    6. earnings may fluctuate based on market adoption, community growth, and User activity.

 

5.6.REGULATORY AND LEGAL RISKS

    1. AI-based mentorship and affiliate structures are subject to evolving regulatory scrutiny worldwide. The User accepts that: legal frameworks may change, affecting access to services,
    2. restrictions may be imposed in certain jurisdictions,
    3. compliance with local tax obligations remains solely the User’s responsibility.

 

5.7.ASSUMPTION OF RISKS

By agreeing to these Terms, the User confirms that he or she:

  • has assessed the nature of AINETIX services,
  • understands the technological, relational, and financial uncertainties involved,
  • accepts the risk of service disruption, data loss, or unrealized earnings,
  • will not hold AINETIX liable for outcomes arising from personal decisions based on AI guidance.

 

 

6. ACCEPTANCE AND MODIFICATION OF TERMS

 

6.1.USER ACCEPTANCE

    1. By registering an account, purchasing a service package, accessing the Atlas Core, engaging with any AI mentor, or participating in the Affiliate and Pool system, the User explicitly confirms acceptance of these Terms and Conditions.
    2. Acceptance is binding once the User clicks on a confirmation button (such as “I Agree”), completes the registration process, or otherwise begins using the services.
    3. Acceptance of these Terms constitutes a legally enforceable contract between the User and C-Ledger L.L.C-FZ, trading under the brand AINETIX.

 

6.2.MODIFICATION OF TERMS

    1. AINETIX reserves the right to amend, supplement, or replace these Terms at its sole discretion, provided that Users are duly informed of such changes in advance through one or more of the following channels: publication of updated Terms on the official AINETIX website,
    2. notification by email to the User’s registered address,
    3. in-app or platform notification.
    4. Continued use of the services following publication or notification of updated Terms constitutes deemed acceptance of the revised Terms by the User.
    5. If the User does not agree to modified Terms, he or she must immediately cease all use of the services. Continued use without explicit rejection shall be interpreted as binding acceptance.
    6. AINETIX encourages Users to review the Terms regularly to remain informed of applicable rights and obligations.

 

6.3.INTEGRATION WITH OTHER POLICIES

These Terms incorporate by reference any other AINETIX policies, including but not limited to privacy policies, affiliate program guidelines, and product-specific rules, all of which form an integral part of the contractual relationship.

 

 

7. ELIGIBILITY

 

7.1.GENERAL REQUIREMENTS

    1. The services of AINETIX are intended exclusively for natural persons or legal entities that: are at least 18 years of age and of full legal capacity to enter binding agreements,
    2. have not previously been suspended or terminated by AINETIX,
    3. use the services solely for lawful purposes in accordance with applicable law.

 

7.2.JURISDICTIONAL RESTRICTIONS

  • Users may not access or use the services if they are located in, or a citizen or resident of, any jurisdiction where the use of relational AI, affiliate marketing, or digital mentorship systems is prohibited by law or regulation.
  • AINETIX reserves the right to implement geo-blocking or other technical measures to restrict access from jurisdictions deemed prohibited or high-risk.
    1. Users represent and warrant that they are not: citizens or residents of the United States of America or any other jurisdiction specifically restricted by AINETIX,
    2. included on any applicable sanctions lists maintained by the United Nations, the European Union, the United Kingdom, OFAC, or the UAE authorities,
    3. politically exposed persons (PEPs) without prior disclosure and explicit approval.

 

7.3.CORPORATE AND INSTITUTIONAL USERS

  • Legal entities may register as Users provided they supply all required incorporation documents, beneficial ownership information, and authorized signatory details.
  • Additional due diligence may be required for institutional or corporate Users under applicable anti-money laundering (AML) and know-your-customer (KYC) regulations.

 

7.4.ACKNOWLEDGMENT OF RESPONSIBILITY

By creating an account or purchasing any service package, the User confirms that:

  • all representations made regarding age, residency, and legal eligibility are true and accurate,
  • AINETIX may at any time require documentary proof of eligibility,
  • misrepresentation of eligibility constitutes a material breach of these Terms and may result in immediate termination of access.

 

 

8. ACCOUNTS

 

8.1.CREATION OF AN ACCOUNT

    1. To access any AINETIX services, including but not limited to the Atlas Core, mentor dialogues, service packages, or affiliate features, the User must create and maintain a personal account (“AINETIX Account”).
    2. Account registration foresees the provision of accurate, complete, and up-to-date information, including: Obligatory: nickname, email address
    3. Optional: full name, phone number, address

For Companies obligatory:

    1. company name
    2. additional information requested during compliance checks
    3. By registering an account, the User warrants that all submitted information is true, complete, and not misleading.

 

8.2.ACCOUNT SECURITY

  • The User is solely responsible for safeguarding access credentials, including passwords, authentication devices, and any additional security measures implemented by AINETIX.
  • Users must not share passwords or access details with third parties.
  • AINETIX strongly recommends enabling multi-factor authentication whenever available.
    1. The User acknowledges that: any action taken through their account, whether authorized or unauthorized, is deemed binding on the User,
    2. AINETIX bears no liability for losses resulting from unauthorized access due to compromised credentials.

 

8.3.ACCOUNT MAINTENANCE

  • Users must promptly update all account information if changes occur, including contact details, corporate structure, or compliance-related information.
  • AINETIX reserves the right to suspend or restrict accounts containing incomplete, outdated, or false information.

 

8.4.IDENTITY VERIFICATION (KYC/AML)

    1. Depending on the User’s activity (e.g., package purchases, affiliate commissions, pool participation), AINETIX may require completion of identity verification.
    2. Verification may include submission of: government-issued ID,
    3. proof of residence,
    4. corporate registration documents (for entities),
    5. beneficial ownership declarations.
    6. AINETIX may use third-party service providers for verification processes. The User consents to such processing as necessary to comply with UAE law.
    7. Failure to provide verification documents within reasonable time limits may lead to account suspension or termination.

8.5.RESPONSIBILITY FOR ACCOUNT ACTIVITIES

  • All actions carried out via the User’s account are deemed to have been made by the User.
    1. The User accepts full responsibility for all activities, including: mentor interactions and data generated,
    2. service package purchases,
    3. affiliate activities, referrals, and commission claims.
    4. Upon becoming aware of unauthorized use or suspected compromise, the User must notify AINETIX immediately via command@ainetix.digital.

 

8.6.NUMBER OF ACCOUNTS

  • Each natural person may maintain only one (1) primary AINETIX account (“Main Account”).
  • Each natural person may hold only one (1) position within the global Pool Bonus System. Multiple Pool positions per individual are strictly prohibited.
  • Additional Sub-Accounts may be purchased under a Main Account. Sub-Accounts do not create additional Pool Bonus entitlements for the same person.
    1. Sub-Accounts may, at a later date, be transferred to another independent Distribution Partner. Such transfer requires: a proper written transfer agreement,
    2. signatures of both parties, and
    3. acknowledgment by AINETIX.
    4. If AINETIX determines that a natural person holds more than one (1) active Pool position, the account with the lower qualification or volume (“Lower Account”) shall be immediately and permanently suspended until it is officially transferred to another independent natural person in accordance with these Terms.
    5. Creating multiple Main Accounts or Pool positions by the same individual is considered a material breach of these Terms and may lead to forfeiture of commissions, suspension of related Sub-Accounts, and permanent exclusion from the Pool Bonus System.

 

8.7.ACCOUNT SUSPENSION AND CLOSURE

    1. AINETIX reserves the right to suspend or close accounts in the following cases: suspected fraudulent, abusive, or illegal activities,
    2. non-compliance with AML/KYC requirements,
    3. violation of these Terms.
    4. Upon closure of the account, access to mentors, Atlas, and affiliate systems will be discontinued.
    5. Any outstanding commissions may be withheld if linked to breach of these Terms.

 

 

9. THIRD-PARTY SERVICES

 

9.1.GENERAL ACKNOWLEDGMENT

  1. AINETIX relies on various third-party providers to deliver its services, including but not limited to: Payment service providers and gateways (for processing service package payments and affiliate commission payouts),
  2. Cloud hosting and infrastructure providers (for the operation of Atlas Core and relational memory systems),
  3. Identity verification partners (for AML/KYC procedures),
  4. Communication and messaging services (for delivering platform notifications, support responses, and system updates),
  5. Integration partners (for analytics, wearable connectivity, and external data streams).
  6. By using AINETIX services, the User acknowledges and accepts that such third-party services are essential for the operation of the platform.

 

9.2.INDEPENDENCE OF THIRD-PARTY SERVICES

  • Third-party providers are independent legal entities. AINETIX has no control over their contractual terms, technical reliability, or long-term availability.
  • The User may be required to accept separate terms and conditions of third-party providers before accessing certain functionalities of AINETIX (e.g., payment gateways, ID verification systems).
    1. AINETIX shall not be held liable for: outages or failures caused by third-party systems,
    2. losses resulting from third-party errors, misconfigurations, or breaches,
    3. disputes arising between the User and any third-party provider.

 

9.3.PAYMENT SERVICES

  • service packages (Scout through Leviathan) are purchased exclusively via authorized payment providers.
  • Users are responsible for ensuring the correctness of payment details and for bearing any transaction fees charged by third parties.
  • AINETIX is not liable for failed, delayed, or reversed transactions due to third-party payment service interruptions.

 

9.4.AFFILIATE COMMISSIONS AND PAYOUTS

    1. Affiliate and pool-based commission payouts may require external financial or payment processors.
    2. The User acknowledges that payout schedules, currency conversion, and transaction costs are subject to the rules of such third-party providers.
    3. AINETIX reserves the right to change its payout provider at any time without prior notice.

 

9.5.IDENTITY VERIFICATION (KYC/AML)

    1. AINETIX may rely on certified third-party service providers to conduct identity verification checks.
    2. The User acknowledges that refusal or inability to pass third-party verification will limit or prevent participation in affiliate earnings, pool distribution, or certain account functions.
    3. AINETIX assumes no liability for delays, errors, or rejections caused by third-party compliance checks.

 

9.6.CLOUD HOSTING AND INFRASTRUCTURE

    1. The Atlas Core and relational memory framework are hosted on third-party cloud infrastructure.
    2. The User acknowledges that: data may be stored across multiple jurisdictions depending on provider infrastructure,
    3. service continuity is dependent on external hosting availability,
    4. outages, downtimes, or security breaches at the infrastructure level may affect AINETIX services.
    5. AINETIX commits to selecting state-of-the-art infrastructure partners but cannot guarantee uninterrupted third-party performance.

 

9.7.REPLACEMENT OF THIRD PARTIES

    1. AINETIX reserves the right to: change, replace, or expand its network of third-party providers,
    2. shift from one provider to another if deemed necessary for operational, technical, or compliance reasons,
    3. require Users to re-accept the terms of new third-party providers when applicable.
    4. The User accepts that continuation of service may depend on establishing or maintaining access with such replacement providers.

 

 

10. PRIVACY POLICY AND DATA HANDLING

 

10.1.GENERAL PRINCIPLES

  • AINETIX collects, processes, and stores personal data in accordance with applicable laws of the United Arab Emirates, including Free Zone regulations.
  • The processing of personal data is necessary for the provision of relational AI services, personalization of mentorship interactions, and operation of the affiliate and compensation systems.
  • By using AINETIX services, the User expressly consents to the collection, storage, and processing of their personal data as described herein.

 

10.2.CATEGORIES OF DATA COLLECTED

    1. AINETIX may collect and process the following categories of information:
    2. Identification Data – such as full name, nationality, date of birth, contact information, and identity verification documents (KYC).
    3. Account Data – including login credentials, service package purchases, affiliate participation, and commission records.
    4. Interaction Data – all communications and dialogues with AI mentors (e.g., Psyche, Vitalis), including text input, symbolic preferences, emotional tone, and contextual history.
    5. Relational Memory Data – contextual metadata regarding User evolution, symbolic archetypes, narrative structures, and engagement patterns, which enable continuity of mentorship.
    6. Technical Data – such as device information, IP addresses, cookies, and usage statistics.
    7. Financial Data – details of payments made for service packages and records of affiliate commission payouts, including transaction history through third-party providers.

 

10.3.PURPOSE OF DATA PROCESSING

    1. To provide personalized mentorship experiences and meaningful relational interactions.
    2. To enable Atlas Core to maintain contextual awareness and memory continuity across mentor sessions.
    3. To administer service packages, validate product access, and manage service tiers.
    4. To operate the affiliate and pool compensation systems, calculate commissions, and distribute payouts.
    5. To ensure compliance with applicable laws, including anti-money laundering (AML) and counter-terrorist financing (CTF) obligations.
    6. To improve system performance, analyze usage trends, and develop new features.

 

10.4.DATA STORAGE AND RETENTION

    1. All personal and relational memory data are stored on secure servers provided by certified third-party cloud hosting providers.
    2. Data may be stored or processed in jurisdictions outside of the United Arab Emirates, depending on infrastructure requirements.
    3. Data will be retained only for as long as necessary to fulfill the purposes outlined above, unless longer retention is required by law.

 

10.5.DATA SECURITY

    1. AINETIX employs industry-standard encryption, access controls, and monitoring systems to safeguard User data.
    2. Despite best efforts, Users acknowledge that: no system can guarantee absolute protection against cyberattacks or breaches,
    3. transmission of data via the internet carries inherent risks.

 

10.6.USER RIGHTS

    1. Users have the right to request access to their personal data held by AINETIX.
    2. Users may request correction of inaccurate data, deletion of data where legally permissible, or restriction of processing in certain cases.
    3. Requests must be submitted in writing to command@ainetix.digital.
    4. AINETIX reserves the right to decline deletion requests if data retention is required for compliance, dispute resolution, or enforcement of contractual obligations.

 

10.7.THIRD-PARTY DATA SHARING

  • Data may be shared with external service providers strictly for purposes of: payment processing,
  • identity verification,
  • hosting and infrastructure management,
  • regulatory compliance.
  • AINETIX does not sell, rent, or commercially exploit User data.

 

10.8.RELATIONAL MEMORY AND SYMBOLIC DATA

  • AINETIX mentors operate on the principle of relational intelligence, which requires the system to remember contextual details of prior interactions.
    1. The User acknowledges that relational memory includes emotional tone, symbolic archetypes, and narrative preferences, which are necessary for continuity and personalization of mentorship.
    2. Such relational data may not be fully anonymized, as it is inherently tied to the User’s personal evolution within the system.

 

10.9.WITHDRAWAL OF CONSENT

    1. Users may withdraw consent to the processing of personal data by ceasing to use AINETIX services and requesting account closure.
    2. Withdrawal of consent will not affect the lawfulness of processing conducted prior to such withdrawal.

 

10.10.REGULATORY DISCLOSURE

AINETIX may disclose data to competent authorities in the United Arab Emirates if required by law, court order, or regulatory investigation.

 

 

11. ACCOUNT FUNDING AND PAYMENTS

 

11.1.SERVICE PACKAGE PURCHASES

    1. Access to AINETIX mentors and functionalities is provided exclusively through the acquisition of service packages (Scout, Ranger, Cruiser, Behemoth, Colossus, Leviathan).
    2. All Service Package purchases are final, binding, and strictly non-refundable.
    3. Users expressly waive any statutory right of withdrawal (including the 14-day withdrawal right under consumer protection law), acknowledging the immediate provision and activation of purely digital services.
    4. Service packages cannot be returned, cancelled, or exchanged once purchased.

 

11.2.PAYMENT CONFIRMATION AND ACTIVATION

    1. Upon successful payment, the purchased service package will be activated in the user’s account.
    2. Access to the respective mentors, features, and functionalities of the chosen service package is granted immediately following confirmation of payment.
    3. As services are digital and delivered instantly, no rescission, reversal, or refund is possible after activation.

 

11.3.TRANSACTION FEES

    1. A processing fee of five percent (5%) of the gross purchase price (“purchase fee”) shall be applied to every service package purchase.
    2. Transaction fees charged by external payment providers (e.g., credit card fees, currency conversion fees) are borne exclusively by the user in addition to the 5% purchase fee.

11.4.NON-REFUNDABILITY

    1. All service package purchases are final and non-refundable.
    2. Exceptions apply only in cases of proven duplicate billing errors or other verifiable technical issues directly attributable to AINETIX.

 

 

12. WITHDRAWALS

 

12.1.AFFILIATE COMMISSIONS

    1. Users who participate in the AINETIX Affiliate and Pool system may receive commission payouts in accordance with the Compensation Plan.
    2. Commissions are credited to the User’s account and disbursed via authorized payout providers.
    3. Users must provide accurate payout details. AINETIX bears no responsibility for failed transactions caused by incorrect information.

 

12.2.PROCESSING OF PAYOUTS

    1. Commission payouts are subject to the payout schedules published by AINETIX.
    2. AINETIX reserves the right to withhold or delay payouts if: suspicious activity is detected,
    3. errors or disputes concerning commission calculation remain unresolved.

 

12.3.PAYOUT FEES

  • All commission payouts are subject to a five percent (5%) payout fee, deducted from the gross commission amount at the time of disbursement.
  • The payout fee is applied in addition to any transaction fees charged by third-party payout providers (e.g., eWallet, banks, or payment processors).
  • The user acknowledges that the net amount received may therefore be lower than the gross commission shown in the affiliate backoffice.

 

12.4.PAYOUT LIABILITY

    1. AINETIX shall not be held liable for delays or losses caused by third-party payout providers, banking intermediaries, or currency conversion systems.
    2. Once commissions have been transmitted to the third-party provider designated by the user, AINETIX’s obligations regarding such payment shall be considered fulfilled.

 

 

13. PROHIBITED TRANSACTIONS

 

13.1.GENERAL PROHIBITIONS

    1. Users shall not attempt to: initiate or request fraudulent payments,
    2. reverse transactions through unauthorized chargebacks,
    3. use stolen or unauthorized payment instruments,
    4. manipulate the affiliate system through artificial purchases, multiple accounts, or collusive behavior.

 

13.2.AML AND COMPLIANCE RESTRICTIONS

AINETIX prohibits any transaction where the User knows or reasonably suspects that the funds originate from unlawful activities, including but not limited to:

  • money laundering,
  • terrorist financing,
  • fraud,
  • sanctions violations.

AINETIX reserves the right to:

  • block transactions suspected of being unlawful,
  • report suspicious activity to competent authorities in the United Arab Emirates,
  • permanently suspend accounts involved in such activity.

 

13.3.REVERSAL AND LIABILITY

    1. AINETIX shall not be responsible for reversing transactions incorrectly executed by the User.
    2. In cases of fraudulent or prohibited transactions, AINETIX reserves the right to confiscate unpaid affiliate commissions and to terminate the User’s account.

 

 

14. RIGHT OF WITHDRAWAL

 

14.1.WAIVER OF WITHDRAWAL

    1. All AINETIX products and services, including service packages, are purely digital in nature and delivered immediately upon purchase.
    2. The user expressly acknowledges and agrees that, by purchasing a service package or any other digital product from AINETIX, the right of withdrawal is waived in full.
    3. This waiver explicitly includes any statutory 14-day withdrawal right under consumer protection law.
    4. As a result, no refunds, cancellations, or product returns are permitted under any circumstances once payment has been processed.

 

14.2.NON-REFUNDABILITY

    1. The user agrees that all payments made to AINETIX are final and non-refundable.
    2. No right exists to request repayment, reversal of transactions, or return of service packages, regardless of whether the user has accessed or used the services.
    3. Refunds or reversals will not be granted, except in the very limited cases of: proven duplicate billing directly attributable to AINETIX, or
    4. verifiable technical errors that result in complete non-delivery of the purchased service package.
    5. In such exceptional cases, AINETIX may, at its sole discretion, issue a corrective credit or system adjustment.

 

14.3.EXCEPTIONS

    1. Refunds or reversals of transactions are only possible in the following exceptional cases: proven duplicate billing directly attributable to AINETIX,
    2. verifiable technical errors leading to non-delivery of a purchased package.
    3. Refund claims must be submitted in writing to command@ainetix.digital within 14 days of the original transaction. Claims submitted after this period will not be considered.
    4. AINETIX reserves the right to deny refund requests where service delivery has been properly executed.

 

 

15. GENERAL SERVICE TERMS

 

15.1.NATURE OF SERVICES

  • AINETIX provides Users with access to relational AI mentors, Atlas Core navigation, service packages, and the affiliate compensation system.
  • services are provided “as is” and “as available,” subject to the limitations and risks described in these Terms.
  • AINETIX does not guarantee uninterrupted service availability or error-free mentor guidance.

 

15.2.USER OBLIGATIONS

  1. Users agree to use the services solely in accordance with applicable laws and these Terms.
  2. Users are responsible for ensuring that: package purchases are made with authorized funds,
  3. account credentials are secured,
  4. affiliate activities are conducted honestly and without manipulation.
  5. Users are further responsible for complying with all applicable tax obligations in their jurisdiction arising from affiliate commissions or pool participation.

 

15.3.AINETIX RIGHTS

    1. AINETIX may at any time: modify, suspend, or discontinue parts of its services for maintenance, updates, or compliance reasons,
    2. adjust package contents, mentor availability, or compensation structures,
    3. restrict access in cases of suspected misuse, fraud, or violation of these Terms.
    4. AINETIX shall not be liable for losses, unrealized earnings, or opportunities missed due to such modifications or suspensions, except in cases of gross negligence or willful misconduct.

 

15.4.COMPLIANCE WITH LAW

  • Users are solely responsible for ensuring that their use of AINETIX services is lawful in their country of residence or business.
  • AINETIX assumes no responsibility for verifying the legality of use in any jurisdiction other than the United Arab Emirates.

 

 

16. CONDITIONS AND RESTRICTIONS

 

16.1.SERVICE LIMITATIONS

    1. AINETIX reserves the right to impose limits on: the number of mentors accessible per User, depending on the purchased package,
    2. the availability of certain features (e.g., analytics, symbolic tools, memory depth),
    3. the frequency or intensity of affiliate payouts and pool participation.
    4. Such limitations may be imposed without prior notice, provided they do not fundamentally alter the purchased package level.

 

16.2.SUSPENSION AND REFUSAL OF SERVICE

    1. AINETIX may suspend or refuse services in cases where: the User provides false or misleading account information,
    2. payments are fraudulent or reversed without authorization,
    3. affiliate activities indicate manipulation, collusion, or abuse of the compensation system,
    4. the User engages in unlawful, abusive, or harmful conduct within the platform.
  • AINETIX may block access until the issue is clarified or permanently terminate the account if violations are proven.

 

16.3.ACCURACY OF INFORMATION

    1. Users must provide accurate, complete, and truthful information at all times when engaging with AINETIX services.
    2. Inaccurate or misleading information may result in suspension, termination, or cancellation of affiliate earnings.

 

16.4.TAX RESPONSIBILITY

    1. All taxes, duties, or other governmental charges arising from User income (e.g., affiliate commissions, pool payouts) are the sole responsibility of the User.
    2. AINETIX does not provide tax advice and will not withhold, collect, or remit taxes on behalf of the User unless explicitly required under UAE law.

 

16.5.UNACCEPTABLE USE

    1. The User must not: use services for unlawful purposes, including fraud, money laundering, or prohibited commercial activity,
    2. manipulate the affiliate system through fake accounts, artificial purchases, or collusive practices,
    3. transmit defamatory, obscene, discriminatory, or otherwise unlawful content through mentor dialogues,
    4. introduce malware, attempt to breach system security, or interfere with the operation of AINETIX.
    5. Violation of these restrictions constitutes a material breach and may result in immediate termination of access.

 

17. AML / KYC COMPLIANCE

 

17.1.GENERAL OBLIGATIONS

  • In accordance with applicable laws of the United Arab Emirates, AINETIX is committed to Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) regulations.
  • Users acknowledge that access to certain services – including but not limited to service package purchases, affiliate commission payouts, and pool distribution – may be conditional upon the successful completion of Know-Your-Customer (KYC) procedures.

 

17.2.USER WARRANTIES

The User represents and warrants that:

  • all information submitted for identification and verification purposes is true, accurate, and complete;
  • funds used for purchasing service packages or engaging in affiliate activities are derived from lawful sources;
  • no activities conducted on the AINETIX platform will involve money laundering, terrorist financing, or other criminal conduct.

 

17.3.VERIFICATION PROCEDURES

AINETIX may request the submission of documents including, but not limited to:

  • government-issued identification,
  • proof of residence,
  • company incorporation documents and beneficial ownership declarations (for legal entities).
    1. AINETIX may use external third-party providers for KYC services. The User consents to such processing.
    2. Failure to provide the required documents within the requested timeframe may result in account suspension, restriction of access, or denial of commission payouts.

 

17.4.RIGHT OF REVIEW

AINETIX reserves the right to re-verify User information at any time and to suspend accounts until such verification is successfully completed.

 

 

18. ERROR CORRECTION ATTEMPTS

 

18.1.GENERAL POLICY

AINETIX may, at its discretion, attempt to correct, reverse, or cancel any transaction, package activation, or commission calculation error.

Errors may arise from: technical malfunctions,

  • User mistakes (e.g., duplicate purchases, incorrect payout details),
  • administrative miscalculations in affiliate commissions.

 

18.2.LIMITATIONS

  • AINETIX does not guarantee successful correction of any error.
  • AINETIX shall not be held liable for losses resulting from errors, except where such errors are caused by gross negligence or intentional misconduct on the part of AINETIX.

 

18.3.USER RESPONSIBILITY

The User is obliged to notify AINETIX immediately at command@ainetix.digital if an error is suspected. Notifications must include sufficient details to allow for verification and resolution.

 

 

19. UNCLAIMED PROPERTY

 

19.1.INACTIVE ACCOUNTS

    1. If a User account remains inactive for a period exceeding eighteen (18) months, AINETIX reserves the right to classify commissions, unused credits, or other balances associated with the account as unclaimed property.
    2. AINETIX will make reasonable efforts to notify the User prior to such classification, using the last known contact details.

 

19.2.DISPOSITION OF UNCLAIMED PROPERTY

    1. Unclaimed property may, in accordance with UAE law, be transferred to relevant authorities, liquidated, or otherwise disposed of.
    2. Users acknowledge that failure to maintain accurate contact information or to claim balances in a timely manner may result in the permanent loss of such balances.

 

 

20. PROPERTY DISPUTES

 

20.1.CLAIMS TO DIGITAL ASSETS

    1. If AINETIX receives notice that any package, commission, or entitlement associated with a User account is subject to dispute (e.g., alleged fraud, inheritance claim, corporate ownership conflict), AINETIX may impose an administrative hold.
    2. During such hold, the User will not be able to access disputed balances, activate new services, or withdraw affiliate commissions until the dispute is resolved.

 

20.2.RESOLUTION OF DISPUTES

    1. AINETIX will not adjudicate ownership disputes. Resolution must be achieved through appropriate legal or administrative proceedings.
    2. Evidence of resolution acceptable to AINETIX (e.g., court order, notarized agreement) must be provided before access is restored.

 

20.3.LIMITATION OF LIABILITY

AINETIX shall not be liable for losses, unrealized earnings, or opportunity costs resulting from administrative holds placed in connection with property disputes.

 

 

21. AFFILIATE AND COMPENSATION SYSTEM

 

21.1.GENERAL STRUCTURE

    1. Every User who purchases products from AINETIX is classified as a Customer. Customers receive access to a Customer Backoffice only and may earn a 2% referral bonus (“Tip Commission”) for directly referred sales.
    2. Customers do not have access to the Affiliate/Distribution Backoffice, nor are they eligible for depth commissions, upline matching, or pool participation.
    3. To become an Active Affiliate with access to the Affiliate/Distribution Backoffice, the User must acquire an Access Key and keep it active on a monthly basis.
    4. Only Active Affiliates are eligible to participate in the Affiliate Compensation Plan, including depth commissions, upline matching, and pool distributions.
    5. If the Access Key expires or is not renewed, the Affiliate is automatically downgraded to Customer status, with access restricted to the Customer Backoffice and the 2% referral program.

 

21.2.DIRECT SALES COMMISSIONS

    1. Active affiliates receive a 10% commission on all direct sales of service packages.
    2. Inactive affiliates (those without an active package in the current month) may receive a reduced commission of 2%.
    3. Commissions are calculated in USD and credited to the affiliate account after payment confirmation.

 

21.3.DEPTH COMMISSIONS

    1. Only Active Affiliates may earn depth commissions.
    2. Affiliates earn 2% commissions on sales generated from levels 2 through 6 in their referral structure.
    3. AINETIX applies a system of dynamic compression, ensuring that inactive affiliates are skipped and commissions pass upward to the next active qualified affiliate.

 

21.4.UPLINE MATCHING BONUSES

    1. Upline matching is available only to Active Affiliates who meet the necessary rank qualifications.
    2. Affiliates at Rank 3 or higher may receive 2.5% matching bonuses on their sponsor’s direct sales.
    3. Affiliates at Rank 4 or higher may receive 2.5% matching bonuses on their grand-sponsor’s direct sales.
    4. Matching bonuses are allocated proportionally if multiple downline branches qualify.

21.5.GLOBAL POOLS

    1. Pools distribute a percentage of AINETIX’s global monthly revenue among qualified participants.
    2. Participation in Global Pools requires not only rank and volume but also a minimum number of direct Active Affiliates with valid Access Keys.
    3. If the required number of direct Active Affiliates is not maintained, Pool participation and payouts will be suspended until compliance is restored.
    4. Qualification requires adherence to duplication rules (“branch rule”) ensuring structural balance across the affiliate’s network.

 

21.6.DISCLAIMER ON EARNINGS

    1. All affiliate commissions and pool shares are discretionary benefits provided by AINETIX.
    2. No guarantee of earnings, stability, or profitability is made. Success depends on the Affiliate’s personal activity, ability to maintain an active Access Key, and the performance of their team.
    3. Customers who do not maintain an Access Key are not eligible for Affiliate Commissions beyond the 2% referral bonus.

 

 

22. PROMOTIONS

 

22.1.GENERAL NOTICE

    1. AINETIX may, from time to time, grant promotional rewards, incentives, or recognition to Users, such as additional commissions, symbolic tools, or access to special events.
    2. All such promotions are voluntary and discretionary.

 

22.2.CONDITIONS

    1. Promotions may be offered to individual Users, groups of Users, or globally, based on activity, achievement, or other criteria defined by AINETIX.
    2. AINETIX reserves the right to modify, suspend, or discontinue promotions at any time without prior notice.

 

22.3.NO LEGAL CLAIM

    1. Users acknowledge that promotions are not contractual entitlements.
    2. No User shall have a legal claim to the continuation, repetition, or payout of any specific promotional benefit.

 

 

23. POTENTIAL CONFLICTS OF INTEREST

 

23.1.AINETIX ACTIVITIES

AINETIX and its customers, affiliates, shareholders, directors, officers, and employees may directly or indirectly:

  • participate in the affiliate program,
  • hold service packages,
  • promote the platform.

Users acknowledge that such activities may give rise to potential conflicts of interest.

 

23.2.WAIVER OF CLAIMS

  • To the extent permitted by law, the User waives any claim against AINETIX or its representatives arising out of potential conflicts of interest, including claims of unequal treatment or preferential access.
  • AINETIX undertakes, however, to operate its affiliate and pool system fairly, transparently, and without arbitrary discrimination.

 

 

24. UNACCEPTABLE USE

 

24.1.PROHIBITED CONDUCT

    1. Users must not, under any circumstances:
    2. Violate applicable laws or regulations while using AINETIX services.
    3. Engage in fraud, money laundering, or other unlawful financial activity.
    4. Manipulate the affiliate system by: creating false or duplicate accounts,
    5. generating artificial sales,
    6. colluding with other Users to misrepresent volume.
    7. Use AI mentors for purposes that are defamatory, obscene, discriminatory, harassing, or otherwise unlawful.
    8. Introduce malware, attempt to breach system security, or disrupt the functioning of the platform.
    9. Misuse relational memory functions to impersonate, manipulate, or harm others.

 

24.2.CONSEQUENCES OF MISUSE

    1. Violations may result in: immediate suspension or termination of the User’s account,
    2. forfeiture of commissions and pool shares,
    3. reporting to competent authorities under UAE law.
    4. AINETIX reserves the right to pursue legal remedies against Users engaging in unacceptable use.

25. INACTIVE ACCOUNTS AND ABANDONMENT

 

25.1.DEFINITION OF INACTIVITY

A User account shall be considered inactive if no login, package purchase, or affiliate activity has occurred for a continuous period of eighteen (18) months.

 

25.2.CONSEQUENCES OF INACTIVITY

AINETIX reserves the right to:

  • deactivate access to mentors and Atlas Core,
  • suspend participation in affiliate commissions and pool distributions,
  • classify unclaimed balances, commissions, or credits as dormant.

Prior to deactivation, AINETIX will make commercially reasonable efforts to inform the User at least twenty-one (21) days in advance using the contact information last provided by the User.

 

25.3.FORFEITURE OF BALANCES

If the User fails to reactivate the account within the notified period, AINETIX may:

  • reclassify the account as abandoned,
  • reclaim unused balances or commissions,
  • release such balances in accordance with applicable UAE law.

Users acknowledge that failure to maintain accurate contact information or to log in regularly may result in permanent loss of account balances.

 

 

26. ACCOUNT UPON USER DEATH

 

26.1.NOTIFICATION AND DOCUMENTATION

In the event of a User’s death, AINETIX may require proof of death and supporting legal documentation before account access is transferred or closed.

Such documentation may include, but is not limited to:

  • death certificate,
  • certificate of inheritance,
  • court order,
  • notarized will or probate documentation.

 

26.2.PROCESSING OF CLAIMS

AINETIX may suspend the account during verification of the claim.

    1. The rightful heirs or legal representatives must provide certified documents, translated into English if necessary, to establish entitlement.
    2. AINETIX will, upon successful verification, transfer access or terminate the account in compliance with UAE succession law.

 

26.3.LIMITATION OF LIABILITY

    1. AINETIX is not responsible for delays caused by insufficient, incomplete, or contested documentation.
    2. In the event of conflicting claims, AINETIX reserves the right to maintain suspension until the dispute is resolved by competent authorities.

 

 

27. TERMINATION OF SERVICES

 

27.1.TERMINATION BY AINETIX

AINETIX may suspend, restrict, or terminate services with or without notice if:

  • the User violates these Terms,
  • fraudulent or manipulative behavior is detected,
  • AML/KYC obligations are not fulfilled,
  • the User misuses AI mentors for unlawful purposes,
  • regulatory or legal requirements mandate such termination.

 

27.2.TERMINATION BY THE USER

The User may terminate their account at any time by sending a written notice to command@ainetix.digital.

    1. Upon termination by the User: access to mentors and Atlas Core will cease immediately,
    2. any unpaid affiliate commissions will be settled according to payout schedules, provided no violations are pending,
    3. all relational memory data may be deleted, unless retention is required by law.

 

27.3.EFFECT OF TERMINATION

    1. Upon termination of an account: outstanding obligations of the User (e.g., unpaid fees, misused commissions) remain enforceable,
    2. AINETIX may delete or deactivate the account and associated data,
    3. AINETIX has no obligation to compensate the User for unrealized gains, missed commissions, or symbolic data.

27.4.RIGHT TO DISCONTINUE SERVICES

  • AINETIX reserves the right to discontinue the entire platform or specific services at any time, at its sole discretion.
  • In such case, Users will be provided with a reasonable notice period to settle accounts, claim outstanding commissions, or download personal data.
  • After the notice period, remaining balances may be forfeited if unclaimed.

 

 

28. ELECTRONIC NOTICES AND COMMUNICATION

 

28.1.CONSENT TO ELECTRONIC COMMUNICATION

The User consents to receive all communications, agreements, notices, receipts, disclosures, and updates (“Communications”) from AINETIX electronically.

Such communications may be delivered via:

  • email to the address provided by the User (including command@ainetix.digital as the sender),
  • notifications within the AINETIX platform or web application,
  • SMS or instant messaging, where applicable.

 

28.2.LEGAL VALIDITY

  • The User acknowledges that electronic communications have the same legal effect as written or paper-based communications.
  • The User agrees to maintain copies of important communications by saving or printing them for record-keeping.

 

28.3.WITHDRAWAL OF CONSENT

  • The User may withdraw consent to receive electronic communications by submitting a written notice to command@ainetix.digital.
  • Withdrawal of consent may result in suspension or termination of the User’s account, as electronic communication is integral to the provision of services.

 

28.4.CONTACT INFORMATION

The User is responsible for ensuring that their email address and contact details are up-to-date. AINETIX shall not be liable for undelivered communications caused by outdated or inaccurate contact information.

 

 

29. THIRD-PARTY CONTENT

 

29.1.CONTENT FROM EXTERNAL SOURCES

Users may be exposed to third-party content during their use of AINETIX services, including but not limited to:

  • educational resources,
  • integrations with wearable devices or external applications,
  • content provided by other Users within community features.

AINETIX does not control, endorse, or verify the accuracy or reliability of third-party content.

 

29.2.DISCLAIMER OF LIABILITY

  • The User acknowledges that third-party content may be incomplete, inaccurate, offensive, or otherwise inappropriate.
  • AINETIX assumes no liability for any loss or damage resulting from reliance on third-party content.

 

29.3.USER RESPONSIBILITY

  • Any interaction between the User and third parties is solely the responsibility of the User.
  • AINETIX shall not be party to, nor held responsible for, disputes, transactions, or arrangements made between Users and third parties.

 

 

30. DISCLAIMER OF WARRANTIES

 

30.1.NATURE OF SERVICES

All AINETIX services, including Atlas Core, AI mentors, service packages, and affiliate systems, are provided strictly on an “as is” and “as available” basis.

AINETIX makes no express or implied warranties regarding:

  • uninterrupted availability of services,
  • accuracy, reliability, or suitability of mentor guidance,
  • achievement of personal, professional, or financial outcomes,
  • error-free functioning of the platform,
  • security of data transmissions over the internet.

 

30.2.EXCLUSION OF IMPLIED WARRANTIES

  • To the maximum extent permitted by law, all implied warranties, including but not limited to fitness for a particular purpose, merchantability, and non-infringement, are excluded.
  • The User acknowledges that AI-based mentorship may generate symbolic, narrative, or interpretative guidance that cannot be guaranteed as factually correct or universally applicable.

 

30.3.SYSTEM INTERRUPTIONS

  • The User accepts that downtime, maintenance, system updates, or failures of third-party infrastructure may occur.
  • AINETIX shall not be liable for losses resulting from such interruptions.

 

 

31. INDEMNIFICATION

 

31.1.USER OBLIGATION TO INDEMNIFY

The User agrees to defend, indemnify, and hold harmless AINETIX, its affiliates, directors, officers, employees, and contractors from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of:

  • misuse of AINETIX services,
  • violation of these Terms,
  • breach of applicable laws or regulations,
  • disputes or claims arising from User participation in the affiliate system,
  • content or information the User provides to mentors, Atlas, or the community.

 

31.2.AINETIX’S RIGHT OF CONTROL

In the event of a claim subject to indemnification, AINETIX reserves the right to assume sole control of the defense and settlement process.

The User agrees to cooperate fully with AINETIX in the defense of such claims.

 

 

32. LIMITATION OF LIABILITY

 

32.1.EXCLUSION OF INDIRECT DAMAGES

To the fullest extent permitted by UAE law, AINETIX shall not be liable for indirect, incidental, consequential, punitive, or special damages, including but not limited to:

  • loss of profits or expected earnings,
  • business interruption,
  • data loss,
  • reputational damage,
  • symbolic or psychological reliance on mentor guidance.

 

32.2.MAXIMUM LIABILITY

In no event shall AINETIX’s total liability to the User for all claims arising out of or related to these Terms exceed the total amount of fees paid by the User to AINETIX in the twelve (12) months immediately preceding the event giving rise to the claim.

 

32.3.USER RESPONSIBILITY

The User acknowledges that:

  • all personal decisions based on mentor guidance are taken at the User’s own risk,
  • affiliate earnings are not guaranteed and depend on the User’s own activity,
  • technology carries inherent risks of failure, interruption, or data breach.

 

 

33. APPLICABLE LAW AND JURISDICTION

 

33.1.GOVERNING LAW

These Terms and any contractual or non-contractual obligations arising therefrom shall be governed by and construed in accordance with the laws of the United Arab Emirates, without reference to conflict of law principles.

 

33.2.JURISDICTION

    1. The courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction over all disputes, claims, or proceedings arising out of or in connection with these Terms or the use of AINETIX services.
    2. Users expressly waive the right to participate in class actions, collective proceedings, or representative litigation. All disputes must be brought on an individual basis.

 

 

34. MISCELLANEOUS

 

34.1.FORCE MAJEURE

AINETIX shall not be liable for any failure or delay in the performance of its obligations caused by events beyond its reasonable control, including but not limited to:

  • natural disasters, extreme weather, earthquakes, or floods,
  • war, armed conflict, terrorism, or civil unrest,
  • epidemics, pandemics, or governmental restrictions,
  • failures of telecommunications, internet, hosting services, or third-party infrastructure,
  • strikes, lockouts, or other industrial disputes.

In such events, obligations shall be suspended for the duration of the force majeure circumstance.

 

34.2.ASSIGNMENT

  • Users may not assign, transfer, or delegate any rights or obligations under these Terms without prior written consent from AINETIX.
  • AINETIX may assign or transfer its rights and obligations under these Terms, in whole or in part, without the User’s consent, including to affiliates, successors, or contractors.

 

34.3.SEVERABILITY

  • If any provision of these Terms is found invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
  • The parties agree to replace any invalid provision with a valid one that most closely reflects the original intent.

 

34.4.ENTIRE AGREEMENT

    1. These Terms, together with any referenced policies or supplemental agreements (including but not limited to the Privacy Policy and Affiliate Compensation Plan), constitute the entire agreement between AINETIX and the User.
    2. They supersede all prior written or oral agreements relating to the subject matter herein.

 

34.5.FINAL PROVISIONS

    1. Headings – Section headings are for convenience only and shall not affect the interpretation of these Terms.
    2. Non-Waiver – Failure by AINETIX to enforce any right or provision shall not constitute a waiver of that right or provision.
    3. Language – These Terms are issued in English. In the event of translations, the English version shall prevail in case of conflict.
    4. Notices – All notices to AINETIX shall be sent in writing to command@ainetix.digital. Notices to Users shall be sent electronically to the contact details provided during account registration.
    5. Effective Date – These Terms enter into force upon publication and remain in effect until replaced or amended by AINETIX.
